3. User Accounts

3.1 Account Creation

To access certain features of our services, you may be required to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We cannot and will not be liable for any loss or damage arising from your failure to comply with this section.

3.3 Account Termination

We reserve the right to suspend or terminate your account and access to our services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.

4. Course Registration and Payment

4.1 Course Enrollment

When you register for a course, you agree to provide accurate and complete information. Course enrollment is subject to availability and confirmation. We reserve the right to refuse or cancel any registration at our sole discretion.

4.2 Payment Terms

Payment for courses must be made in accordance with the terms specified at the time of registration. All prices are in Canadian dollars unless otherwise specified. We reserve the right to change our prices at any time, but changes will not affect registrations already confirmed.

4.3 Refunds and Cancellations

Our refund and cancellation policy is as follows:

• Cancellations made 21 days or more before the course start date will receive a full refund less a $50 administrative fee.
• Cancellations made between 14-20 days before the course start date will receive a 75% refund or full credit toward a future course.
• Cancellations made less than 14 days before the course start date will receive a 50% credit toward a future course.
• No refunds or credits will be provided for no-shows or cancellations on or after the course start date.
• Substitutions of participants from the same organization are accepted at any time at no charge.

We reserve the right to cancel or reschedule courses. In the event of cancellation by us, you will be offered a full refund or the option to transfer to another course.

5. Intellectual Property Rights

5.1 Our Content

All content, materials, and resources provided through our services, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, software, and course materials (collectively, "Content"), are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.

5.2 License to Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use our services and Content for your personal, non-commercial educational purposes. This license does not include the right to:

• Modify, reproduce, distribute, publicly display, publicly perform, or create derivative works based on our Content
• Use our Content for any commercial purpose
• Remove any proprietary notices or labels on our Content
• Use our services or Content in any manner that could damage, disable, overburden, or impair our systems
• Gain unauthorized access to our services, accounts, computer systems, or networks

OUR SERVICES AND CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE CONTENT OR THE CONTENT OF ANY WEBSITES LINKED TO OUR SERVICES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Growth-optionsMY, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, OUR SERVICES.

WITHOUT LIMITING THE FOREGOING, OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES WILL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING OUR SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Growth-optionsmy, its affiliates, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from:

• Your use of and access to our services
• Your violation of any term of these Terms
• Your violation of any third-party right, including without limitation any copyright, property, or privacy right
• Any claim that your actions caused damage to a third party

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without giving effect to any principles of conflicts of law.

Any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Winnipeg, Manitoba, Canada, and you hereby submit to the personal jurisdiction of such courts.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Growth-optionsmy regarding your use of our services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning our services.

12.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent possible under law.

12.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a duly authorized representative of Growth-optionsmy.

12.4 Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.
